The Arkansas annual report is the franchise tax

Arkansas collects its flat franchise tax through the annual report itself: one filing, one payment, due on a fixed spring date, and the sheet counts that money a single time. The tax carries a published floor and lands at the Secretary of State rather than a revenue agency. Formation is priced modestly and the office publishes its usual completion window.

the rest of this note

The fictitious name has an unusual life cycle in the record: it never expires and is never renewed, while cancelling it becomes an obligation once the name falls out of use. No expedited service is sold at any tier, a verified reading. The registered agent cannot sit behind a commercial mail receiving agency, a refusal the record cites.

Arkansas calls it the Franchise Tax, collected by Arkansas Secretary of State, Business and Commercial Services Division. That money is already inside the annual report figure in field 02, so this sheet counts it once and not twice.

What are the Arkansas trade name rules?

Arkansas calls it the fictitious name, and splits the filing: an LLC registers with the state, while other business forms file locally. The state filing costs $22.50.

How long it lasts

Perpetual (no expiration)

A fictitious name does not expire and there is no renewal. Cancellation is an obligation rather than an option: under § 4-38-122(e) an LLC that dissolves, or that surrenders or forfeits its right to do business in Arkansas, or that simply stops using the fictitious name, must file a cancellation with the Secretary of State, and if it does not the Secretary of State may cancel the privilege on satisfactory evidence.

What the filing protects

no exclusive right

A fictitious name discloses the name a business trades under and grants no exclusive right. Arkansas ties a consequence to not filing rather than a reward for filing, and § 4-38-122(f) is specific and one-sided: where an unregistered LLC is party to a contract, deed, conveyance, assignment or instrument of encumbrance that names it exclusively by the fictitious name, the obligations imposed on the company and the rights the instrument confers on third parties are still enforceable against it, while the company's own rights under that instrument may not be enforced in Arkansas courts until it complies with the section and pays a $300 civil penalty to the Treasurer of State. The filing does carry one screening effect: under § 4-38-122(c) the Secretary of State will not accept a fictitious name that is the same as, or confusingly similar to, an existing entity or reserved name, which is a lower bar than the distinguishability test § 4-38-112 applies to entity names.

Where to search existing names

sos-corp-search.ark.org

Entity fictitious names filed with the Secretary of State appear in the state business search. Sole proprietor fictitious names sit only in county clerk records, so a full check of individual DBAs means searching the relevant county.

Where do these figures come from?

Every figure on this sheet renders from the pinned dataset snapshot, and each card links the page its own figure came from. This list collects those pages in one place, with the duplicates removed and the agency named.

The rule behind every figure here, and what a card does when one cannot be verified, sits on how a figure gets verified.
