What happens when an LLC files its annual report late?

Three things sit on each state's record: the late fee, the delinquency interval before the state may dissolve the LLC by administrative action, and what reinstatement costs. The fee is ranked only against itself and enters no cost total on this site.

The dissolution column is the first stage the state publishes, in the state's own unit; several states run a further notice period behind it, and this table never adds stages together or converts a unit. The reinstatement sentence is the record's own, verbatim.

sorted by the late fee, ascending

A figure marked flat part only is not the whole penalty: those states also run a rate or tax penalty on top of it, and only the state's own schedule says how large the bill gets. The ranked figure is what the state publishes as a flat amount, not what any particular lapse will cost.

Which states charge no late fee at all?

These states publish no late fee for a missed report, and every row here is a researched finding grounded on the agency's own fee schedule, never an unread record. It is not an all-clear: the dissolution clock and the reinstatement bill still run, and both columns stay on the record.

a penalty with no single figure

  • Maryland The penalty has more than one part and the state publishes no one number for it.

What does this page not tell you?

Three boundaries, and naming them is part of the record. This page prices a lapse and never predicts one.

A cost total

The late fee joins no formation total and no five-year total anywhere on this site, because a penalty is not a filing cost anyone plans for. The cost ledger does not read it, and this page adds nothing to it.

A countdown

The dissolution column is the first interval the state publishes, not the time a company has left. Several states run a notice stage behind it, and some dissolve on the deadline itself with no interval at all.

The whole consequence

Losing good standing has effects this table does not price: contracts, lending and name protection among them. What each state attaches to delinquency is on that state's own record sheet, in its late-filing section.
